12月9日晚间，据“市说新语”微信公号，因英伟达公司涉嫌违反《中华人民共和国反垄断法》及《市场监管总局关于附加限制性条件批准英伟达公司收购迈络思科技有限公司股权案反垄断审查决定的公告》（市场监管总局公告〔2020〕第16号），市场监管总局依法对英伟达公司开展立案调查。

对此，截至发稿，英伟达方面尚未作出回应。

消息传出后，英伟达（Nasdaq：NVDA）美股盘前一度跌超2%。12月8日，英伟达股价跌1.81%收于每股142.44美元，总市值3.49万亿美元。

2020年4月16日，市场监管总局发布公告称，决定附加限制性条件批准英伟达收购迈络思科技有限公司（Mellanox Technologies，以下简称迈络思）。

公告显示，迈络思于1999年在以色列设立，主要从事网络互联产品的研发、生产和销售。2019年3月，根据签署协议，英伟达拟收购迈络思全部股份，迈络思成为英伟达的全资子公司。

2019年4月24日，市场监管总局收到本案经营者集中反垄断申报。2020年2月9日，申报方申请撤回案件并得到市场监管总局同意。2020年2月12日，市场监管总局对申报方的再次申报予以立案审查。市场监管总局认为，此项集中对全球和中国GPU加速器、专用网络互联设备和高速以太网适配器市场具有或者可能具有排除、限制竞争效果。

为批准此案，市场监管总局提出的限制性条件包括：向中国市场销售英伟达图形处理器加速器（以下简称GPU加速器）与迈络思高速网络互联设备时，不得以任何方式强制搭售，或附加任何不合理的交易条件；不得阻碍或限制客户单独购买或使用其中一类产品；不得歧视单独购买一类的客户；依据公平、合理、无歧视原则向中国市场继续供应相关产品；继续保证英伟达GPU加速器和迈络思高速网络互联设备与第三方设备的互操作性；继续保持迈络思设备点对点通信软件和集合通信软件的开源承诺等。

公告中还提到，市场监管总局有权通过监督受托人或自行监督检查申报方履行上述义务的情况。申报方如未履行上述义务，市场监管总局将根据《反垄断法》相关规定作出处理。限制性条件自公告之日起生效，6年后，交易双方和集中后实体可以向市场监管总局提出解除条件的申请。市场监管总局将依申请并根据市场竞争状况作出是否解除的决定。未经解除，交易双方和集中后实体应继续履行限制性条件。

2020年4月，在获得中国政府批准后，英伟达宣布完成对迈络思成交价高达69亿美元的收购，正式进军“网卡”市场。从此，英伟达开启从一家GPU公司到数据中心公司的转型。

受益于人工智能浪潮，英伟达业绩节节攀升。当地时间11月20日盘后，英伟达发布了截至10月27日的2025财年第三财季财报，期内实现营收350.82亿美元，同比上涨94%，高于市场预期的332.8亿美元；美国通用会计准则（GAAP）下净利润193.09亿美元，同比上涨109%；Non-GAAP下每股摊薄收益为0.81美元，同比上涨103%，高于市场预期的0.74美元。公司毛利率在该财季为74.6%，同比上涨0.6%，但环比下降0.5%。英伟达预测2025财年第四财季的销售额将达到375亿美元，上下浮动2%，高于市场平均预期的370亿美元，但低于部分分析师的最高预期。
